1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of SpaySecure's website and services at spaysecure.com (the "Service"), operated by SpaySecure ("we," "our," or "us").

By accessing or using SpaySecure, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services. You must be at least 18 years old to use SpaySecure.

2. Description of Service

SpaySecure provides a platform for pet breeders to create, send, track, and manage sterilization contracts with pet buyers. Our services include:

• Digital contract creation and customizable templates
• Electronic signature collection via DocuSign
• Deadline tracking and automated reminders
• Proof of sterilization submission and review
• Litter and pet management
• Record keeping and compliance reporting
• Pedigree creation and management

3. Account Registration

To use our services, you must create an account and provide accurate information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Keeping your account information current and accurate

4. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Submit false or misleading information
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service

5. Contracts and Electronic Signatures

SpaySecure facilitates the creation and execution of contracts between breeders and buyers. You acknowledge that:

• You are responsible for the content and terms of your contracts
• Electronic signatures collected through our platform are legally binding under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Uniform Electronic Transactions Act (UETA), and similar laws in Canada and Australia
• SpaySecure does not provide legal advice regarding contract enforceability
• You should consult with a legal professional for specific legal questions

Electronic signature services are provided by DocuSign. By using these services, you also agree to DocuSign's Terms of Use.

6. Fees and Payment

Certain features of SpaySecure require a paid subscription or credit purchases. By subscribing or purchasing credits, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate billing information
• Authorize recurring charges for subscription plans

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings, and cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Payment processing is handled by Stripe. By making a payment, you also agree to Stripe's Terms of Service.

7. Third-Party Services

Our Service integrates with third-party services. Your use is subject to their terms:

8. Your Content

You retain ownership of content you submit to SpaySecure (contracts, templates, pet records, etc.). By submitting content, you grant us a limited license to use, store, and process that content as necessary to provide our services.

9. Intellectual Property

SpaySecure and its content, features, and functionality are owned by SpaySecure and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SpaySecure does not guarantee the enforceability of contracts created through our platform. Enforceability depends on applicable law and the specific circumstances of each contract.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPAYSECURE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Loss of profits or revenue
• Disputes between you and your buyers
• Failure of buyers to comply with sterilization contracts
• Unauthorized access to or alteration of your data

Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to hold SpaySecure harmless from any claims or damages arising from contracts you create, your use of the service, or your violation of these Terms.

13. Termination

You may close your account at any time. We may suspend or terminate your account for violation of these Terms or for any other reason with notice.

Upon termination, your right to use the service ceases. You may request export of your data before closing your account.

14. Changes to Terms

We may modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. For users located in Australia, disputes will be governed by the laws of Queensland, Australia.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration. For users in the United States and Canada, arbitration will be conducted by ADR Services, Inc. For users in Australia, arbitration will be conducted by the Australian Centre for International Commercial Arbitration (ACICA). You agree to waive your right to participate in class action lawsuits against SpaySecure.
